Terms of Service

1. Acceptance of Terms

By accessing or using the services provided by Avuetech ("Avuetech," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

These Terms constitute a legally binding agreement between you and Avuetech governing your use of our services, including but not limited to hardware solutions, software development, IT support, and related services.

2. Services Description

Avuetech provides the following categories of services:

• Hardware Solutions: Server supply, storage systems, networking equipment, server room setup, and related infrastructure
• Software Solutions: Custom software development, web applications, mobile applications, ERP systems, and portal solutions
• IT Support Services: Annual Maintenance Contracts (AMC), technical support, and managed services

Specific terms for each service will be outlined in individual service agreements or proposals.

3. Service Agreements

All services provided by Avuetech are subject to separate service agreements, proposals, or contracts that may include:

• Scope of work and deliverables
• Timeline and milestones
• Pricing and payment terms
• Warranty and support terms
• Intellectual property rights

In case of conflict between these Terms and a specific service agreement, the terms of the specific agreement shall prevail.

4. Payment Terms

4.1 Pricing

All prices are quoted in Indian Rupees (INR) unless otherwise specified. Prices do not include applicable taxes (GST, etc.) unless explicitly stated.

4.2 Payment Schedule

Payment terms will be specified in individual proposals or agreements. Standard payment schedules may include:

• Advance payment upon agreement signing
• Milestone-based payments for project work
• Monthly or quarterly payments for support services

4.3 Late Payment

Payments not received within the specified due date may be subject to:

• Interest charges at 1.5% per month on outstanding amounts
• Suspension of services until payment is received
• Recovery action through legal means

5. Intellectual Property

5.1 Client Materials

You retain all rights to materials, content, and data you provide to us for project execution.

5.2 Avuetech's Intellectual Property

Avuetech retains ownership of:

• Pre-existing tools, frameworks, and methodologies
• Generic components developed during project work
• Trade secrets and proprietary processes

5.3 Deliverables

Upon full payment, you will receive the agreed-upon rights to project deliverables as specified in the service agreement. Custom software developed specifically for you will typically be assigned to you upon full payment, unless otherwise agreed.

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of engagement. This includes but is not limited to:

• Business processes and strategies
• Technical specifications and designs
• Financial information
• Customer data and information

Confidentiality obligations shall survive the termination of services for a period of three (3) years.

7. Warranties and Disclaimers

7.1 Service Warranty

Avuetech warrants that services will be performed in a professional and workmanlike manner consistent with industry standards.

7.2 Hardware Warranty

Hardware products supplied by Avuetech carry manufacturer warranties. Warranty terms and duration vary by product and will be specified at the time of purchase.

7.3 Software Warranty

Custom software developed by Avuetech comes with a defect warranty period (typically 90 days post-delivery) during which we will fix bugs at no additional cost.

7.4 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED HEREIN, AVUETECH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Avuetech's total liability for any claims arising from services shall not exceed the total amount paid by you for those services in the twelve (12) months preceding the claim
• Avuetech shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Avuetech shall not be liable for loss of profits, data, business, or goodwill

9. Indemnification

You agree to indemnify, defend, and hold harmless Avuetech and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your breach of these Terms
• Your violation of any applicable law or regulation
• Any content or materials you provide that infringe third-party rights

10. Termination

10.1 Termination for Convenience

Either party may terminate ongoing services with written notice as specified in the service agreement (typically 30-60 days).

10.2 Termination for Cause

Either party may terminate immediately if the other party:

• Materially breaches the agreement and fails to cure within 30 days of notice
• Becomes insolvent or files for bankruptcy
• Engages in illegal or unethical conduct

10.3 Effect of Termination

Upon termination, you shall pay for all services rendered and expenses incurred up to the termination date. Avuetech will provide reasonable assistance in transitioning services.

11. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, power failures, or government actions.

12. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of India. Any disputes arising from these Terms or related services shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka, India.

Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiation and, if necessary, mediation.

13. Modifications

Avuetech reserves the right to modify these Terms at any time. Changes will be effective upon posting to our website. Your continued use of our services after any changes constitutes acceptance of the modified Terms.

14. General Provisions

• Entire Agreement: These Terms, together with any service agreements, constitute the entire agreement between the parties
• Severability: If any provision is found unenforceable, the remaining provisions shall remain in effect
• Waiver: Failure to enforce any provision shall not constitute a waiver of that provision
• Assignment: You may not assign your rights under these Terms without our prior written consent
